Terms and conditions

Version 1.0 - August 31, 2026

1. Definitions

  • Metrara: part of Goldcompass, based in Dordrecht, the Netherlands, Chamber of Commerce 87161079, VAT NL004366990B11, provider of the service.
  • Customer: the natural person or legal entity creating an account or taking out a subscription. Metrara serves business customers only.
  • Service: the Metrara online marketing dashboard, including its plugins, connections and support.
  • Business: one website together with its connected sources (analytics, search console, advertising account, webshop, social channels). The number of businesses determines the plan.
  • Credits: units of account for features that cost Metrara money at an external provider or involve heavy AI processing.
  • User: any person with access to the service using the customer's credentials, including read-only accounts.
  • Customer data: all data entering the service through connections or manual input.

2. Applicability

2.1 These terms apply to all use of the service, including during the trial period.

2.2 Any terms and conditions of the customer are expressly rejected.

2.3 Deviations apply only where Metrara has confirmed them in writing.

3. Account and trial period

3.1 The customer creates their own account and is responsible for the accuracy of the details provided.

3.2 The trial period lasts fourteen days, is free of charge, requires no payment details and gives access to all features.

3.3 At the end of the trial period access ends, unless the customer takes out a paid subscription. No payment obligation arises automatically.

3.4 The customer is responsible for keeping login details confidential and for everything that happens under their account.

4. Subscription, businesses and credits

4.1 Every feature is included in every plan. The plan determines only how many businesses the customer may measure.

Plans

  • Start: Businesses: 1 / Price per month € 29 / Price per year € 290
  • Growth: businesses: 5 / Price per month € 79 / Price per year € 790
  • Agency: businesses 25 / Price per month € 249 / price per year € 2,490

4.2 An additional business costs € 19 per month or € 190 per year, on any plan.

4.3 One read-only user is included per client business. Additional seats are a paid extension.

4.4 Every organisation receives 30 credits each month. Unused credits expire at the end of the calendar month and are not paid out or refunded.

4.5 Credits are required for, among other things, backlink research, competitor comparison, keyword research, rank tracking and report generation. Current rates are shown within the service. Dashboards, signals, to-dos and report viewing never cost credits.

4.6 Metrara may change credit rates when supplier purchase prices change. Changes are announced at least thirty days in advance.

4.7 All amounts stated are exclusive of VAT.

4.8 The plan determines the maximum number of businesses the customer can measure. Whether the customer actually uses that number is their own choice and responsibility. Unused capacity gives no right to a discount, set-off or refund.

4.9 The customer may downgrade to a smaller plan at any time. A downgrade takes effect at the next renewal.

5. Payment

5.1 Payment is made exclusively through Metrara's digital payment environment. The customer makes the first payment by iDEAL or credit card, thereby granting a continuous authorisation for subsequent payments.

5.2 Subsequent payments are collected automatically in advance of each period, from the account or card used for the first payment. Metrara announces each collection by email at least two days in advance, stating the amount and date. The customer expressly agrees to this shortened notice period.

5.3 The customer may change their payment method at any time in the dashboard.

5.4 Payment by bank transfer or on invoice is not offered. Metrara may deviate from this in exceptional cases, in writing.

5.5 If a collection is reversed or cannot be executed, Metrara may charge the resulting costs and make a further attempt. The customer will be informed.

5.6 If payment fails after two attempts, the customer is in default by operation of law. Metrara may suspend access following a reminder with a seven-day term.

5.7 Amounts paid are not refunded pro rata on early termination or downgrade.

5.8 While the payment environment is not yet active, Metrara invoices manually with a fourteen-day payment term. Once digital payment becomes available, Metrara will inform existing customers and ask them to select a payment method.

6. Term, changes and termination

6.1 The subscription is entered into per month or per year and renews automatically for the same period.

6.2 The customer may terminate up to the end of the current period, through the dashboard or by email. The service remains available until that date.

6.3 Upgrades can be made at any time and take effect immediately, with settlement of the remaining period.

6.4 If the customer exceeds the number of businesses in their plan, Metrara will request an upgrade. If this does not happen within fourteen days, Metrara may deactivate the excess businesses.

6.5 After termination Metrara retains customer data for ninety days, so the customer can return or export their data. After that everything is deleted automatically and irreversibly.

7. Use of the service

7.1 The customer uses the service solely for their own business purposes or those of their own clients.

7.2 The customer may not resell the service as their own product, reverse-engineer it, extract data automatically outside the features provided for that purpose, or use it in a way that harms availability for others.

7.3 The customer warrants that they are authorised to connect the accounts they connect, and have the permission of the rights holder to do so.

7.4 In the event of misuse, unlawful use or a significant security risk, Metrara may suspend access with immediate effect. The customer will be informed as soon as possible.

8. Third-party connections

8.1 The service retrieves data from external platforms such as Google, Microsoft, webshop systems, social media platforms and email systems. All connections are read-only. Metrara never changes anything in connected accounts.

8.2 For Google Ads and Merchant Center, Google offers no read-only permission. The customer therefore grants broader permission than is technically necessary. Metrara uses that permission solely to read.

8.3 Metrara is not responsible for the availability, accuracy or changes of external platforms and their APIs. If a platform discontinues or substantially changes a connection, Metrara will make reasonable efforts to find an alternative, but this is an obligation of effort, not of result.

8.4 The customer remains responsible for complying with the terms of those external platforms.

9. Availability and maintenance

9.1 Metrara aims for high availability but gives no guarantee of uninterrupted operation.

9.2 Planned maintenance is announced in advance where possible and carried out outside office hours.

9.3 Data is refreshed daily. Delays or outages at an external source may affect how current the figures are.

9.4 Metrara may add, change or remove features. Where a material feature is discontinued, this is announced at least thirty days in advance and the customer may terminate as of that date.

10. Intellectual property

10.1 All rights to the service, the software, the plugins, the design and the documentation rest with Metrara.

10.2 The customer receives a non-exclusive, non-transferable right of use for the term of the subscription.

10.3 Customer data remains the property of the customer. Reports, texts and advice generated by the service on the basis of customer data may be used freely by the customer.

10.4 Metrara may use anonymised and aggregated data to improve the service, provided no individual customer or person can be identified from it.

11. AI features

11.1 The service uses AI to rank, summarise and phrase figures, and to draft concepts for blogs, mailings and reports.

11.2 All figures are calculated in code from the source systems. AI does not calculate figures and does not invent them.

11.3 Generated texts and advice are suggestions. The customer decides whether to use them and remains responsible for published content and decisions taken.

11.4 Metrara accepts no liability for business decisions taken on the basis of advice from the service.

12. Liability

12.1 Metrara is liable solely for direct damage resulting from an attributable failure.

12.2 Liability is limited, per event and per calendar year, to the amount the customer paid in the twelve months preceding the damage, with a maximum of € 5,000.

12.3 Metrara is not liable for indirect damage, including lost revenue, missed savings, reputational damage, loss of rankings or advertising results, and loss of data at external platforms.

12.4 These limitations do not apply in the event of intent or deliberate recklessness on the part of Metrara.

12.5 Claims lapse twelve months after the customer became aware, or could have been aware, of the damage.

12.6 Metrara is not liable for damage arising from the customer's own choices regarding plan size, use or configuration of the service, including failure to use purchased capacity and failure to adjust the subscription in time.

12.7 The limitations in this article have been agreed in light of the level of the fee for the service and the business-to-business nature of the agreement.

13. Force majeure

13.1 Metrara is not obliged to perform in the event of force majeure, including outages at hosting providers, failures or policy changes at external API providers, cyberattacks and government measures.

13.2 If force majeure lasts longer than sixty days, either party may terminate the agreement in writing without any obligation to pay damages.

14. Affiliate programme

14.1 Every account holder receives a personal referral link in the dashboard. By using that link, the account holder participates in the affiliate programme and accepts this article.

14.2 Participants receive a 15% recurring fee on the subscription revenue, excluding VAT, of customers they introduce, for as long as that customer keeps paying. The fee applies to every subscription invoice, including the settlement of an interim upgrade. Credit bundles are excluded.

14.3 A sign-up is attributed to the participant if the new customer creates an account within sixty days of opening the referral link in the same browser. Metrara records the attribution at sign-up; a later change is not possible.

14.4 A fee becomes payable thirty days after the underlying payment by the introduced customer. This waiting period allows refunds and reversals to be settled.

14.5 If a payment by the introduced customer is refunded or reversed, the fee for that payment lapses. If the fee had already been paid out, Metrara offsets it against the next payout, and the balance may become negative until the offset is complete.

14.6 Metrara pays out once the payable balance is € 50 or more, by bank transfer to the account stated by the participant in the dashboard. Without complete payout details, the balance remains payable but is not transferred. Metrara transfers payable balances at the start of the month.

14.7 Payouts start once the payment environment is active. Fees accrued before that date remain payable.

14.8 The participant states in the dashboard whether they are VAT registered and, if so, their VAT number. The participant is responsible for the accuracy of these details.

14.9 The fee is a fee for a service. All amounts shown in the dashboard exclude VAT. VAT is handled as follows:

  • a participant who is not VAT registered receives the fee without VAT;
  • a participant who is VAT registered and holds a Dutch bank account receives the fee plus 21% Dutch VAT;
  • a participant who is VAT registered in another EU member state and provides a valid VAT number receives the fee without VAT, the VAT being reverse charged to the participant, who reports it in their own member state;
  • a participant outside the EU receives the fee without Dutch VAT.

14.10 With every payout Metrara sends a statement by email, showing the fee, the VAT or the reason no VAT applies, and the amount transferred. The participant agrees that this statement serves as the settlement between the parties and that Metrara draws it up on the participant's behalf. The participant remains responsible for their own tax return and administration.

14.11 Introducing one's own account or an affiliated account does not qualify for a fee. Metrara may end a participation in the event of misleading recruitment, trademark infringement, bidding on the brand name in advertising, or introducing one's own or affiliated accounts. Fees already paid out may be reclaimed in such cases.

14.12 Metrara may change or end the programme with thirty days' notice. Fees already accrued remain payable.

15. Changes to these terms

15.1 Metrara may amend these terms. Changes are announced at least thirty days in advance by email or within the service.

15.2 Where a change materially disadvantages the customer, they may terminate as of the effective date.

16. Governing law

16.1 This agreement is governed by Dutch law.

16.2 Disputes will be submitted to the competent court in the district of Rotterdam, unless mandatory law provides otherwise.

This is a translation. In the event of any discrepancy, the Dutch version prevails.
